Coach-Client Relationship
- The Coaching Contract does not make either party a joint venture, partner, employee or agent of the other.
- The Coach agrees to maintain the ethics and best practice standards of the generally accepted industry practice and standards.
- The Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. The Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.
- Client further acknowledges that he/she may terminate or discontinue the coaching relationship at any time.
- Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s
- Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders and that coaching is not to be used as a substitute for counselling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If the Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.
- The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program. Where possible, the Client should ensure that there is as little background noise/distraction, so that they can get the most from each coaching call and be heard easily by the Coach.
- The Client should expect that they will have weekly commitments, reflective exercises or tools to incorporate into their lifestyle, and has set aside the necessary time to be able to fully commit to the process, not merely the time for the call each week. In order to facilitate this process, the Client understands and accepts that at the end of each call they may be asked “what are you committed to this week?” and will be expected to commit to a specific action of their choosing.
- Results of the services vary from person to person. For this reason, performance, progress and success are reliant on the Client meeting their own commitments. The Coach cannot and does not guarantee any particular or any results and the Client is solely responsible for their progress. If any time during the services the Client feels their progress is not as expected, it is the responsibility of the Client to advise the Coach immediately of any concerns in order to give the Coach an opportunity to address and assist. The Coach will use any and all reasonable efforts to solve these concerns. Nonetheless, the Coach does not guarantee or warrant any increase or altered progress or performance.
- The parties agree to engage in the Coaching Program agreed upon in the Coaching Contract. Calls will typically be over Jitsi unless otherwise specified.
- The Coach will be available to Client by e-mail. The Coach expects to receive updates from the Client before the next meeting as set out in each coaching session, to ensure accountability for action or inaction by Client.
- Unless otherwise negotiated with Coach, Coach is not available to review documents, read or write reports, or engage in other client-related services outside of coaching hours.
Payment and Fees
This Coaching Contract is valid as of the Effective Date stated in the Coaching Contract. The fees are stated in the Coaching Contract and payable in advance, unless otherwise agreed and stipulated. In the event that you have been permitted to make payment by instalments, you are responsible to complete all payments, irrespective of whether or not you decide to complete the program you have invested in, and whether or not you have achieved the level of results expected. The calls will be via Jitsi, unless otherwise organized, for the length of time agreed upon in the Coaching Contract.
That said, I will consider postponing sessions or part of the coaching package, should you suffer a family emergency (critical injury or death of a significant other/child). This is at my discretion and is not a decision I will make lightly. Loss of employment or life-changing decisions made during the coaching process is not grounds on which I will consider postponing the coaching sessions to future dates.
Should I, the Coach, have a family emergency, the Client will have the option of rescheduling the remaining coaching sessions.
All Coaching Sessions are scheduled in advance by direct agreement between you and your Coach. If for any reason you cannot attend a scheduled Coaching Session you are fully responsible for informing your Coach and arranging an appointment at least 48 hours in advance, otherwise the session will be deemed forfeit. You are responsible for rescheduling via phone or contact (and receive reply) via email.
Record Retention
The Client acknowledges that the Coach may make written notes during the coaching session, and additionally will send to the Client emails or messages via online mediums. The Coach may retain these messages in electronic format, as well as keeping the notes in the Client file until the relationship has terminated.
The Client furthermore understands that the financial transaction records will be kept in accordance with the tax and income reporting rules applicable to the Coach, for the purpose of accounting purposes. Such records will be maintained by the Coach in a format of the Coach’s choice (print or digital/electronic) for the time period deemed appropriate by the Coach’s accountant or tax advisers.
Termination
Note that the Coaching Contract will automatically terminate upon completion, notwithstanding that the Confidentiality and duty of Non-Disclosure mentioned in these Terms & Conditions shall survive and continue in force and effect for the period of time allowed by applicable law.
Either the Client or the Coach may terminate the Coaching Contract at any time with a two-weeks notice (by email confirmed with Messenger).
Client agrees, in the event of termination of the Coaching Contract, that the Coaching Fees are refundable as already set forth in the Refund Policy, and as mentioned in the Coaching Contract.
In the event of termination without cause by the Coach, the Coach shall refund to the Client the pro-rated basis of fees, according to the coaching sessions remaining under the Coaching Contract.
However, the Coaching Contract may be terminated with cause by the Coach, at their sole discretion, should the Client become disruptive to Coach, fail to follow the guidelines provided by the Coach, be difficult to work with, consistently fail to complete the agreed-upon work between coaching sessions, or the Coach believes that the working relationship has broken down, including a loss of confidence and trust, which has the effect of compromising the Coach’s ability to perform the services under the Coaching Contract.
Limited Liability & Indemnification
Except as expressly provided in these Terms & Conditions, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under these Terms & Conditions and the Coaching Contract, and the Client’s exclusive remedy shall be limited to the amount actually paid by the Client to the Coach under the respective Coaching Contract for all coaching services rendered through and including the termination date.
The Coach is not an employee, agent, doctor, manager, therapist, public relations or business manager, registered dietician, financial analyst or adviser, psychotherapist, or accountant.
Therefore, the Client understands that the Coach has not promised, shall not provide and will not:
- Procure or attempt to procure employment, business or sales for Client;
- Perform any business management functions, including, but not limited to account, tax or investment consulting or advice of any nature thereto;
- Act as a therapist, providing psychoanalysis, psychological counselling or behavioural therapy;
- Act as a public relations manager of any kind;
- Act as a publicist in any way;
- Introduce Client to any of Coach’s network of contacts, partners or business partners.
Client fully understands that a relationship and/or partnership does not exist between the parties upon the conclusion of the Coaching Contract, and that in no shape or form does the Coaching Contract create any type of partnership or agreement between the parties other than what is specifically covered therein and additionally covered in the Coaching Contract.
Furthermore, some of the services covered in the coaching may involve health or other personal management discussions. These services and the information provided should not replace discussions with a qualified healthcare or other relevant professionals and should not be used to diagnose or replace any professional treatment and/or management of any condition. Any decision about the Client’s treatment and management of any condition should be made with the relevant healthcare professional, and the Client agrees and acknowledges that any reliance on any information, discussion or recommendation is done at their own risk.
The Client is at all times responsible for their own physical health and emotional well-being.
By engaging the Coach, the Client agrees that they alone are responsible for all outcomes and achievements by participating in the Services and the Coach cannot guarantee nor be responsible for any results, no matter how incurred.
Dispute Resolution
If a dispute arises out of the Coaching Contract that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to 30 days after the notice is given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.
Severability
If any provision of the Coaching Contract and these Terms & Conditions shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of the Coaching Contract and these Terms & Conditions is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
Applicable Law
The Coaching Contract and these Terms & Conditions shall be governed and construed in accordance with the laws of Romania, without giving effect to any Conflicts of Laws provisions.
ROMÂNĂ
Termeni și condiții privind serviciile de coaching
1. RELAȚIA COACH-CLIENT
In cele ce urmeaza prin COACH se va intelege persoana care ofera sedinta de coaching, iar prin CLIENT se intelege persoana care beneficiaza de sedinta de coaching.
COACh-ul este de acord să mențină standardele de etică, cele mai bune practici și standardele general acceptate in domeniu.
Clientul este singurul responsabil pentru crearea și implementarea propriei sale bunăstari fizice, mintale și emoționale, decizii, alegeri, acțiuni și rezultate care decurg din sau care rezultă din relația de coaching. Ca atare, clientul este de acord că coach-ul nu este și nu va fi responsabil pentru nicio acțiune sau inacțiune sau pentru orice rezultat direct sau indirect al oricăror servicii furnizate. Clientul înțelege că coaching-ul nu înlocuiește terapia, și nu previne, vindecă sau tratează nicio tulburare mintală sau boală medicală.
Clientul stie, de asemenea, că el/ea poate înceta sau întrerupe relația de coaching în orice moment.
Clientul recunoaște că coaching-ul nu implică diagnosticarea sau tratamentul tulburărilor mintale și că coachingul nu trebuie utilizat ca înlocuitor pentru consiliere, psihoterapie, psihanaliza, îngrijire a sănătății mintale, tratamentul abuzului de substanțe sau alte sfaturi profesionale din partea juridică, medicală sau de altă natură. profesioniști calificați și că este responsabilitatea exclusivă a Clientului să caute astfel de îndrumare profesională independentă, după cum este necesar. Dacă Clientul se află în prezent sub îngrijirea unui profesionist în domeniul sănătății mintale, se recomandă ca Clientul să informeze prompt furnizorul de servicii de sănătate mintală despre natura și amploarea relației de coaching convenite de Client și Coach.
Clientul înțelege că, pentru a îmbunătăți relația de coaching, Clientul să fie de acord să comunice sincer, să fie deschis la feedback și asistență și să creeze timp și energie pentru a participa pe deplin la program. Acolo unde este posibil, clientul ar trebui să se asigure că există cât mai puțin zgomot de fundal/distragere a atenției, astfel încât să poată profita la maximum de fiecare sesiune de coaching.
Clientul ar trebui să se aștepte să aibă sarcini si exerciții de reflecție săptămânale sau instrumente pe care să le încorporeze în stilul său de viață și să-și aloce timpul necesar pentru a se putea angaja pe deplin în proces, nu doar timpul pentru sesiunea din fiecare săptămână. Pentru a facilita acest proces, Clientul înțelege și acceptă că la sfârșitul fiecărei sesiuni poate fi întrebat „la ce te angajezi săptămână urmatoare?” si ca Coach-ul se va astepta ca Clientul sa transforme respectivul angajament in actiuni specifice.
Rezultatele serviciilor variază de la persoană la persoană. Din acest motiv, performanța, progresul și succesul depind de îndeplinirea de către Client a propriilor angajamente. Coach-ul nu poate și nu garantează niciun rezultat anume, iar Clientul este singurul responsabil pentru progres. Dacă în orice moment în timpul serviciilor, Clientul simte că progresul său nu este cel așteptat, este responsabilitatea sa să-l informeze imediat pe Coach cu privire la orice nelămurire, pentru a-i oferi Coach-ului posibilitatea de a aborda problema și de a ajuta Clientul. Coach-ul va depune toate eforturile rezonabile pentru a rezolva aceste probleme. Cu toate acestea, Coach-ul nu garantează și nu garantează nicio creștere sau modificare a progresului sau a performanței.
Părțile sunt de acord să se angajeze în Programul de coaching mentionat în Contractul de coaching. Sesiunile vor avea loc de obicei peste Jitsi, dacă nu se specifică altfel.
Coach-ul va fi disponibil pentru Client prin e-mail. Antrenorul se așteaptă să primească de la Client actualizări referitoare la progres înainte de următoarea întâlnire, pentru a asigura responsabilitatea din partea Clientului.
Cu excepția cazului în care se negociază altfel, Coach-ul nu este disponibil să examineze documente, să citească sau să scrie rapoarte sau să se angajeze în alte servicii cu clienții în afara orelor de coaching.
PLĂȚI ȘI TARIFE
Tarifele menționate în Contractul de coaching sunt plătibile în avans, cu excepția cazului în care s-a convenit și stipulat altfel.
Daca este necesar sa anulati o programare, anuntati cu cel putin 48 de ore inainte sau va fi necesar sa consideram intalnirea ca fiind desfasurata, motiv pentru care banii nu vor putea fi returnati.
- Atat Coach-ul cat si Clientul vor respecta timpul alocat sesiunilor si vor anunta din timp daca exista motive pentru anularea unei sesiuni. In cazul in care o sesiune se anuleaza, Coach-ul va stabili de comun acord cu Clientul data si ora la care se poate tine sesiunea, in termen de maxim 48 de ore dupa sedinta anulata. Anularea sesiunii de catre Client nu echivaleaza cu pierderea acesteia, ci aceasta se va reprograma, atata timp cat acest lucru este facut cu cel putin 48 de ore inainte de momentul la care era programata sedinta. Exceptie fac cazurile de Forta Majora.
- Cazuri inacceptabile pentru amânare: pierderea unui loc de muncă sau decizii de schimbare a vieții luate în timpul procesului de coaching
ÎNCETARE
Fie Clientul, fie Coach-ul poate rezilia Contractul de Coaching în orice moment, cu un preaviz de două săptămâni (prin e-mail confirmat de Whatsapp).
Clientul este de acord, în cazul rezilierii Contractului de coaching, ca tarifele de coaching achitate să fie rambursate, așa cum este deja stabilit în Politica de rambursare și în Contractul de coaching.
În cazul rezilierii fără motiv de către Coach, acesta va rambursa Clientului suma proporțională conform sesiunilor de coaching rămase.
Cu toate acestea, Contractul de Coaching poate fi reziliat cu motive justificate de către Coach, la discreția sa exclusivă, în cazul în care Clientul:
1. devine perturbator pentru Coach
2. nu respectă instrucțiunile furnizate de Coach
3. Este dificil de lucrat cu Clentul
4. Clientul este în mod constant in urma cu sarcinile de lucru dintre sesiunile de coaching sau dacă
5. Coach-ul consideră că relația de lucru s-a deteriorat, s-a pierdut încrederea, ceea ce are ca efect compromiterea capacității Coach-ului de a presta serviciile conform Contractului de coaching.
SOLUȚIONAREA LITIGIILOR
Dacă apare o dispută care nu poate fi rezolvată prin consimțământ reciproc, Clientul și Coach-ul sunt de acord să încerce să medieze cu bună-credință până la 30 de zile de la data notificării. În cazul în care litigiul nu este soluționat astfel, și în cazul unei acțiuni în justiție, partea care prevalează va fi îndreptățită să recupereze de la cealaltă parte onorariile pentru avocați și cheltuielile de judecată.
LEGEA APLICABILĂ
Contractul de coaching și acești Termeni și Condiții vor fi guvernate și interpretate în conformitate cu legile din România, fără a da efect prevederilor privind conflictele între legI.
FORȚA MAJORĂ
- Forta majora exonereaza de raspundere partea care o invoca, in conditiile legii.
- Prin forta majora se inteleg imprejurarile care au intervenit dupa incheierea contractului ca urmare a unor evenimente extraordinare, neprevazute si inevitabile pentru una din parti.
- Partea care invoca forta majora are obligatia sa o aduca la cunostinta celeilalte parţi prin notificare scrisa (prin posta sau e-mail) in termen de 7 zile de la aparitia cauzei de forta majora.
CONFIDENȚIALITATE
- Clientul poate, in orice moment , in cadrul sesiunii de coaching, sa declare preferinta lui / ei pentru a nu discuta o anumita problema, pur si simplu afirmand ca ar dori mai degraba sa nu discute aceasta problema.
- Coach-ul este de acord sa respecte aceasta limita si nu va incerca sa continue conversatia de-a lungul acestor linii.
- Atat Coach-ul cat si Clientul se obliga sa nu divulge unei terte persoane si sa nu foloseasca nicio informatie considerata confidentiala ce ar putea dauna partilor. Prestatorul va trata informatiile oferite de Beneficiar ca fiind confidentiale. Obligatia de confidentialitate subzista si dupa incetarea contractului pe o perioada de 5 ani. Neindeplinirea acestei obligatii confera Beneficiarului dreptul de a se adresa instantelor de judecata pentru recuperarea tuturor prejudiciilor cauzate de Prestator. Exceptie fac intelegerile scrise intre Prestator si Beneficiar care sa specifice continutul informatiilor ce pot si cunoscute unei terte persoane.
